Supervisory directors B&S Group Fired and Stepped Down

15-12-2022 B&S Group announced that Jan Arie van Barneveld, chair of the supervisory board, was fired at an extraordinary meeting of shareholders. As a result of his resignation, Supervisory Board member Kitty Koelemeijer resigned effective immediately.

Jan Arie van Barneveld had been chair of the supervisory board of B&S Group since 2018. The resolution to remove him from his position was the only item on the agenda. The extraordinary meeting of shareholders had been requested by major shareholder Sarabel, the investment vehicle of founder and supervisory director Willem Blijdorp, which holds 67% of B&S shares. This was related to a conflict that arose after Sarabel made an offer that the two independent supervisory directors, Van Barneveld and Koelemeijer, assessed as not fair.

Kitty Koelemeijer, a member of the supervisory board of B&S Group since 2018, had already announced on 17 October that she would resign if Van Barneveld were fired. Her resignation took effect immediately.

B&S Group currently has only dependent supervisory directors, being Willem Blijdorp and Leendert Blijdorp. The company says it expects to appoint one or more new independent supervisory directors in due course.
